Introduction 

At Wavy Grafix, we believe in simplicity. Our paperwork is free of any hidden surprises or convoluted jargon. These terms and conditions are designed with your ease of understanding in mind. We’re here to keep things simple, straightforward, and fair. 

1. Services 

1.1 Graphic Design

 We offer graphic design services, as described in your project agreement. The scope of work, project timelines, and any additional terms will be outlined in your design project agreement.

1.2 Website Design 

Our website design services are governed by website project agreements that specify the project scope, timelines, and any additional terms. 

1.3 Digital Marketing Plan (DMP)

Our DMP services include Google My Business management, Social Media organic management, graphic design, website maintenance, and SEO. Project-specific details will be provided in your GPS agreement. 

1.4 Search Engine Optimization (SEO)

We offer SEO services to enhance your online presence. The scope of work, strategy, and timelines will be outlined in your SEO project agreement. 

1.5 Google Ads and Social Media Ads

We provide services for managing Google Ads and Social Media Ads campaigns. Project-specific terms and campaign strategies will be detailed in your Paid Ads project agreement. 

2. Additional Provisions 

In addition to the terms outlined in the previous sections, Wavy Grafix may specify industry-specific or unique terms and conditions relevant to the services provided. These additional provisions will be detailed below and will form an integral part of our service agreements. It’s essential to review these additional provisions carefully, as they may pertain to specific aspects of the services that warrant individual attention. 

2.1 Hosting 

Hosting refers to the act of hosting a domain that entails both email services and website hosting. We provide hosting at a monthly or yearly fee depending on client’s request.

If hosting account is overdue, services will be paused, and if not rectified by the client in 7 days, the domain hosting plan will enter cancellation state. Cancellation entails at 30 days overdue, with the website files and database SQL file sent to the client. 

We will not be held liable for any work or emails lost or not received due to non payment of hosting accounts. If client hosting is nearing maximum capacity, Wavy Grafix will notify them to discuss further hosting space upgrade plans. If maximum capacity is reached and any data/email loss occurs, we will not be held liable. 

If a client wishes to transfer their domain to our domain hosting plans, we will charge a per hour fee for the initial domain transfer process. 

2.2 Scope Creep 

Scope creeps refers to any changes outside of the agreed upon project. Any scope creep will result in additional costs. The client will be informed of these costs and must agree to them before any additional work is undertaken. 

Scope changes may also lead to project delays. Clients should be aware that significant scope changes may impact project timelines and should plan accordingly. 

3. Payment Terms 

A 70% deposit of the total project cost is required before the commencement of Phase 1 for all services. The final 30% payment is due upon the launch or completion of the project, as specified in your project agreement. 

Payments can be made through the payment methods agreed upon in the project agreement. Retainer agreements are to be paid on the pre-agreement retainer date. We require a 30-day notice should you wish to cancel your Retainer or Digital Marketing. No work will be done without payment, and any elements not paid for in full are still our property. 

4. Confidentiality 

We will not disclose your confidential information to third parties without your prior written consent. We will protect your data and information in accordance with our privacy policy. 

5. Termination

 Either party may terminate the service agreement in accordance with the terms specified in your project agreement. We require a 30-day notice should you wish to cancel your Retainer or Digital Marketing. 

6. Limitation of Liability

We will not be held liable for any indirect, special, incidental, or consequential damages arising from or in connection with our services. We will not be held liable for any overspend on your Paid Ads account. Overspend refers to any money or credits paid towards Paid Ads Platforms such as Google or Facebook above the agreed-upon budget limit. 

7. Governing Law

These Terms are governed by the laws of South Africa. Any legal action or proceedings related to these Terms shall be subject to the exclusive jurisdiction of the courts in Polokwane. 

8. Changes to Terms

We reserve the right to revise and update these Terms at any time. You will be bound by the most current version of these Terms.
